Terms of Service

1. Agreement to Terms
By accessing or using Secure-Slot ("the Service"), operated by VaultDeposit Technologies Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users, including service providers ("Providers") and their clients ("Clients").
2. Description of Service
Secure-Slot is a client screening, booking verification, and contact-unlock tool that helps Providers filter serious clients before direct contact. Depending on the Provider's selected gate, a client may pass AI screening only, complete an Interac commitment step, or pay a verification fee through Stripe.
We currently offer three gate types:
Free Access Mode — How It Works:
- AI screens the client request before it reaches the Provider
- The client receives NO invoice and is NOT asked to pay to unlock your contact
- The Provider approves or declines contact by SMS or dashboard alert
- Secure-Slot routes the screened request and stores related platform-safety metadata
Private Mode (Interac e-Transfer) — How It Works:
- The client MUST pay an Interac security deposit (minimum $15) to proceed past the screening
- We verify payment and notify you via SMS
- You approve or decline contact; only then does the client receive your contact info
- Maximum privacy - the payment is anonymous and PIPEDA compliant (flow uses Interac e-Transfer)
- All client data auto-deleted 72 hours after booking completion
Earn Mode (Stripe) — How It Works:
- The client MUST pay a verification fee through Stripe (a regulated payment processor)
- We verify receipt and notify you via SMS
- You approve or decline contact; only then does the client receive your direct contact info
- Stripe automatically splits the fee: 80% to Provider, 20% to VaultDeposit as a software platform fee
- All client data auto-deleted 72 hours after booking completion
We are NOT:
- A payment processor or money transmitter
- A guarantor of services rendered
- A party to any agreement between Provider and Client
- Responsible for the quality, legality, or delivery of services
Interac Network Use: Interac e-Transfer® is a registered trademark of Interac Corp. VaultDeposit uses the Interac network as an authorized commercial user through our financial institution's Bulk Receivables service.
3. Eligibility
You must be:
- At least the age of majority in your province or territory (18 or 19 depending on jurisdiction)
- A resident of Canada with access to Canadian payment methods (Interac e-Transfer or compatible payment provider)
- Capable of entering into a legally binding agreement
By using the Service, you represent and warrant that you meet these requirements.
4. Provider Responsibilities
As a Provider, you agree to:
- Provide accurate registration information
- Comply with all applicable laws in your jurisdiction
- Not use the Service for illegal activities
- Keep your dashboard PIN confidential
- Honor commitments made to Clients when deposits are received
- Report disputes honestly and in good faith
- Refund clients directly if you cancel a verified booking — Secure-Slot does not process refunds on your behalf
You are solely responsible for: The nature, legality, and delivery of services you offer. Secure-Slot does not evaluate, endorse, or guarantee any Provider's services.
5. Client Responsibilities
As a Client, you agree to:
- Send verification fees only for legitimate booking purposes
- Include the correct memo code or reference in your payment
- Arrive for scheduled appointments or communicate cancellations in advance
Alias Use: Clients are not required to provide legal names to Providers. Clients may use an alias for booking purposes. Secure-Slot does not verify the legal identity of Clients.
Failure to appear ("no-show"): If you fail to attend a booked appointment without prior cancellation, the client forfeits their verification fee (paid to the platform).
6. Payment Verification & Fees
How Payment-Enabled Gates Work:
- In Private Mode or Earn Mode, the client completes the verification step through the applicable payment method
- Secure-Slot verifies payment and notifies the Provider
- Provider accepts or declines booking based on client screening and verification status
- After service completion, the Provider confirms outcome to complete the booking flow
Payment Methods: Free Access Mode does not require a client payment. For payment-enabled gates, we use secure Canadian payment providers including Interac e-Transfer and third-party payment processors. Billing descriptors will show the payment provider name (e.g., "Interac e-Transfer" or payment processor notation), not VaultDeposit.
Fees:
Secure-Slot is free to use. In Free Access Mode, no client verification fee is charged. In Private Mode, the platform retains the verification fee as its service charge. In Earn Mode, providers earn 80% of the verification fee via Stripe, with 20% retained by the platform.
Platform fees are non-refundable except where required by law.
⚠️ Transaction Limits: To manage payment processing risk and keep transactions in the low-value SaaS bracket, individual verification fees and deposits are capped at 250 units of the booking currency (e.g., $250 CAD, $250 USD, €250 EUR, £250 GBP). This limit applies regardless of currency. For higher-value services, Providers may issue multiple bookings.
Cancellation & Refunds: Outside of the automatic 48-Hour Response Guarantee above, Secure-Slot does NOT handle refunds. Once the Provider has marked the Client as reached and the verification fee has been captured, the fee is non-refundable. The verification fee pays for our booking confirmation and contact-unlock service — it is not a guarantee of any service delivered by the Provider.
- Provider cancellation or no-show after capture: Contact your bank to dispute the transaction; Secure-Slot does not mediate service disputes
- System error: Contact compliance@vaultdeposit.ca within 7 days
- Provider falsely marked “Reached Client”: Report to compliance@vaultdeposit.ca within 7 days. Confirmed false claims result in permanent ban of the Provider per our Acceptable Use Policy, and Secure-Slot may, at its sole discretion, issue a goodwill refund. Repeated abuse forfeits any pending payouts.
- Fraud reporting: Report Provider misconduct to compliance@vaultdeposit.ca for platform safety review (does not by itself entitle you to a refund)
We are not a payment processor or mediator for service disputes. Clients must pursue refunds through their financial institutions for unauthorized transactions.
7. Privacy & Data Handling
Your use of the Service is also governed by our Privacy Policy.
Key data practices:
- Contact data minimized after service completion per PIPEDA requirements
- Trust scoring uses cryptographic hashing (no plain-text storage)
- Platform handles payment verification so provider and client banking details remain separate
8. Disputes Between Providers and Clients
We do not arbitrate disputes or handle refunds. Secure-Slot is a technology platform, not a mediator, arbiter, or payment processor.
For Provider cancellations, service issues, or suspected fraud:
- Contact your bank immediately to report unauthorized debits and dispute transactions
- Report Provider misconduct to compliance@vaultdeposit.ca for platform safety (does not entitle you to a refund)
- Secure-Slot may provide transaction records upon lawful request but is not liable for losses
Network Flag History: Anonymized flag patterns (no-shows, payment issues, abusive behavior) are aggregated across the platform to help Providers make informed decisions. This feature is provided "as-is" and should not be the sole basis for accepting or declining Clients.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
VaultDeposit Technologies Inc., its officers, directors, employees, and agents shall NOT be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from services provided by Providers
- Third-party actions, including fraud or misrepresentation by users
- Service interruptions, errors, or security breaches
- Decisions made based on Dispute History data
- Force Majeure: Delays or interruptions to platform availability or verification fee processing caused by third-party payment processor outages, bank processing delays, technical issues beyond our control, or acts of God
MAXIMUM LIABILITY: Our total liability to you shall not exceed the fees you paid to Secure-Slot in the 12 months preceding the claim, or $500 CAD, whichever is less.
10. Indemnification
You agree to indemnify, defend, and hold harmless VaultDeposit Technologies Inc. and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Services you provide or receive through the platform
11. Prohibited Uses
You may NOT use Secure-Slot for:
- Any illegal activity under Canadian federal or provincial law
- Money laundering or fraud
- Harassment, abuse, or threats against other users
- Circumventing security measures or exploiting vulnerabilities
- Submitting false dispute reports
- Any activity involving minors
Violation may result in immediate account termination and reporting to authorities.

12. Account Termination
We reserve the right to suspend or terminate accounts that:
- Violate these Terms
- Engage in fraudulent activity
- Generate excessive disputes
- Remain inactive for 12+ months
How to delete your account:
- Go to your Provider Dashboard → Account Settings
- Click "Request Account Deletion" and confirm via SMS code
- You have 30 days to cancel the request if you change your mind
- After 30 days, your account and personal data will be permanently deleted
Note: Pending bookings must be resolved before deletion. Financial records (without personal data) are retained for 7 years per CRA requirements.
13. Modifications to Terms
We may update these Terms at any time. Material changes will be communicated via:
- Email notification to registered Providers
- Notice on the Service (dashboard banner)
Continued use after changes constitutes acceptance of the revised Terms.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the courts of Montreal, Quebec. You consent to personal jurisdiction in these courts.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and VaultDeposit Technologies Inc. regarding the Service.

18. Intellectual Property & No Ownership Rights
All intellectual property rights in the Service belong exclusively to VaultDeposit Technologies Inc.:
- The platform's software, algorithms, business logic, and underlying technology are proprietary
- You do not acquire any ownership, license, or rights to the platform's code, workflows, or systems
- User-generated content (booking data, client info) remains yours but we retain the right to process it for Service operation
- Aggregated, anonymized data may be used for platform improvements and analytics
- Reverse engineering, copying, or attempting to extract platform logic is strictly prohibited
Your use of the Service does not grant any ownership interest in VaultDeposit Technologies Inc. or its intellectual property.
